2. Intellectual Property Rights
- All Intellectual Property Rights and title to the Services (save to the extent incorporating any data imported into the Services for the purpose of using the Services or facilitating your use of the Services (“Customer Data”)) shall remain with us and/or our licensors. No interest or ownership in the Services, the Intellectual Property Rights or otherwise is transferred to you under these Terms.
- You shall retain sole ownership of all rights, title and interest in and to Customer Data and its pre-existing Intellectual Property Rights and shall have the sole responsibility for the legality, reliability, integrity, accuracy and quality of the Customer Data. You grant us a non-exclusive, non-transferable, royalty free license to use Customer Data, Customer Intellectual Property Rights and any third party owned item from the Effective Date for the Term to the extent required for the provision of the Services.
- You are not allowed to remove any proprietary marks or copyright notices from the Services.
- You assign us all rights, title and interest in any of your feedback, innovations or suggestions created by you regarding the attributes, performance or features of the Services . If for any reason such assignment is ineffective, you grant us a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-licence, distribute, modify and exploit such Feedback without restriction.
- You grant us the perpetual right to use aggregated, anonymised data derived from the Customer’s or user’s use of the Services (“Statistical Data”) and nothing in these Terms shall be construed as prohibiting us from using the Statistical Data for business and/or operating purposes, provided that we do not share with any third party Statistical Data which reveals your identity or your Confidential Information.
- We may take and maintain technical precautions to protect the Services from improper or unauthorized use, distribution or copying.
- We reserve the right to cancel any license at any time at its sole discretion upon giving 14 days written notice, without any liability other than refunding any Fees already paid applicable to periods after termination
3. Services
- You engage us and we agree to provide the Services to you from the Effective Date for the Term in accordance with the terms of this Agreement.
- The Services shall be available to you 99.9% on a 24 x 7 basis (excluding any scheduled maintenance, lack of availability of the Services not caused by us or due to our sub-contractor’s breach of the terms of the Agree
- We provide unlimited access to our Services within fair use restrictions. If we determine your usage is not for your own non commercial use or are generated reports with a high frequency we may cancel and disable your access to our Services without warning.
- You must not use our Services in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.
- You must not resell or reproduce any of the contents of the Services without our permission.
- Historic results are not guaranteed to be 100% accurate. History profiles are based on technology evidence from API integrations. It is possible for websites to mimic and show historic results from other websites and thus may show a false positive.
4. Limitation of Liability
- You acknowledge that it would be unreasonable to hold us liable in respect of the Services and the information on the Services.
- Whilst we endeavor to ensure that the information on the Services is correct, we do not warrant its completeness or accuracy; nor do we commit to ensuring that our Services remains available or that the material on the Services is kept up-to-date.
- To the maximum extent permitted by applicable law we exclude all representations, warranties and conditions (including, without limitation, the conditions implied by law of satisfactory quality, fitness for purpose and the use of reasonable care and skill).
- Our liability is limited and excluded to the maximum extent permitted under applicable law. We will not be liable for any direct, indirect or consequential loss or damage arising under these Terms or in connection with our website, whether arising in tort, contract, or otherwise – including, without limitation, any loss of profit, contracts, business, goodwill, data, income, revenue or anticipated savings.
- However, nothing in these Terms shall exclude or limit our liability for fraud, for death or personal injury caused by our negligence, or for any other liability which cannot be excluded or limited under applicable law.
5. Other Important Terms
- We may transfer our rights and obligations under these Terms to another organization, but this will not affect your rights or obligations under these Terms.
- You may only transfer your rights or your obligations under these Terms to another person if we agree in writing.
- These Terms and any document expressly referred to in it constitutes the entire agreement between us regarding their subject matter, and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between us, whether written or oral, relating to that subject matter. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in these Terms or any document expressly referred to in it. You agree that you shall have no claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in these Terms or any document expressly referred to in it.
- Each of the conditions of these Terms operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect.
- These Terms, its subject matter and its formation, and any other disputes or claims in connection therewith, are governed by the laws of Italy. In the event of any such disputes or claims in connection with these Terms, you agree to first engage in good faith discussions with us to resolve such disputes or claims. If such dispute or claim is not resolved within sixty (60) days, we both irrevocably submit to the exclusive jurisdiction of the courts of Rome.

This Privacy Notice sits in line with our Privacy Policy, is supplemental and applies to all Core Web Vitals History Checker users (our “Services”). Accordingly, we proceed with all data processing procedures (e.g., collection, processing, and transmission) as set out in EU’s General Data Protection Regulation (“GDPR”) and Italy’s Data Protection Code (“DPC”).

First of all, we would like to inform you about your rights as a data subject. These rights are standardized in the DPC and the GDPR and include:

Updating your information and withdrawing your consent
If you believe that the information we hold about you is inaccurate or request its rectification, deletion, or object to its processing, please do so by contacting us.
Access Request
In the event you want to make a Data Subject Access Request, please contact us. We will respond to requests regarding access and correction as soon as reasonably possible. Should we not be able to respond to your request within thirty (30) days, we will tell you why and when we will be able to respond to your request. If we are unable to provide you with any Personal Data or to make a correction requested by you, we will tell you why.
What we do not do
- We do not request Personal Data from minors and children;
- We do not process special category data without obtaining prior specific consent;
- We do not use Automated decision-making including profiling; and
- We do not sell your Personal Data.
3. Directly Collected Data when using Our Services
We also process the Personal Data involved in your use of our services in order to be able to provide our contractual services. This includes in particular our support, correspondence with you, invoicing, fulfillment of our contractual, accounting and tax obligations. Accordingly, the data is processed on the basis of fulfilling our contractual obligations and our legal obligations. We process certain technical data and in some instances personal data when you are using our Core Web Vitals History Checker. In a nutshell, a Core Web Vitals History Checker obtains certain information via an application programming interface (API) and shows that information in a predetermined and to an extent customizable user interface. In this sense, you can check a website URL and identify a variety of information over a certain period of time. In this sense, we process some Personal Data which may include your name if your URL contains your full name and your IP address. 4. Disclosure of Personal Data to Third Parties
Your Personal Data will only be passed on if there is a legal obligation to do so or to service providers and partner companies that have been carefully selected in advance and are contractually obliged to comply with the requirements of data protection law.
5. Data Transfer to Third Countries
We usually do not transfer Personal Data outside Italy or the EEA, however, if we do we take additional measures to ensure an adequate level of data protection for the transfer of Personal Data and thus ensure that the transfer is generally permissible and that the special requirements for a transfer to a third country are met (e.g., by concluding EU standard contracts and additional guarantees, supplementary technical and organizational measures such as encryption or anonymization).
6. General Techincal Organizational Measures
We have taken a variety of security measures to protect Personal Data to an appropriate extent and adequately. All information held by us is protected by physical, technical, and procedural measures that limit access to the information to specifically authorized persons in accordance with our Privacy Policy and this notice.
